WHEREAS the Participants share a common goal of speeding up carbon drawdown by helping businesses accurately report their carbon emissions, the Participants have reached the following understandings:

1. Purpose

The Participants will collaborate on a transparent, non-financial, barter basis to advance their shared goal of measurable carbon reduction.

2. Key Contributions

Contributions

MI: To ensure there are no barriers inside MI’s proprietary 7th Wave’ materials information platform between understanding the materials properties they use and the SeeThroughCarbon properties and the shared goal of enabling smart and impactful decisions to be made around materials use and alternatives.
Where STC-relevant data exists within a 7thWave hosted environment, a directory of this data will be shared via the SeeThroughCarbon network and posted on the MaterialsInformation website. Tutorials will be posted on the respective sites and support will be provided via email, if necessary.

STC: Access to the full resources of the See Through Network, including See Through Carbon (carbon reporting ecosystem), See Through News (journalism and outreach), See Through Together (social media video content) and See Through Games (online games).

3. Key Constraints

MI: MI’s critical business is helping customers to develop and protect their materials information. It is our customers choice, if they in turn wish to share SeeThroughCarbon relevant data. Whilst MaterialsInformation will make the case for sharing, we will not refuse customer business purely on a customer’s decision about their own carbon reporting/​calculation data.

STC: No money.

4. Collaboration Benefits

MI

  1. Learning: from the community of advisors and contributing customers’ about their carbon management journey for materials, processing and usage in combination with their engineering, sourcing and production decisions. This knowledge will aid our connection to commercial customers and the value our customers can achieve when participating in the STC mission.
  2. Sharing: our materials property experience in integrating and collating materials information so that others see our achievement/​thought leadership but also succeed in their own projects and move the total STC project forwards.
  3. Supporting: the development and evolution of the carbon reporting processes, data and network to make the contribution and use of the data acceptable and practical for all. This work will aid MI in leading their customers and building STC contribution strategies into their materials information ecosystem.
  4. CONSULTANCY: Access at no charge to See Through Network’s pro bono Advisory Board where Participants’ interests intersect.

STC

  1. DATABASE: Rapid acquisition at no charge of a bespoke, state-of-the-art graph database architecture
  2. CONSULTANCY: Technical assistance and advice at no charge to integrate database with user interface platforms
  3. ACCURATE LCA REPORTING: access to best-available materials conversion factors for more accurate Life Cycle Analysis reporting
  4. PROOF OF CONCEPT: for STC’s zero-budget barter’/’donation’ model ecosystem model

Both Participants

  1. REPUTATIONAL GAIN: via being first-mover/early adopter trailblazers in accurate carbon reporting.
  2. TRANSPARENCY: This proposal is not exclusive in any direction and the data is not the property of MaterialsInformation Ltd and can be the property of the information creator (who can keep it private) or SeeThroughCarbon (who will make carbon-related data public).
  3. CARBON REDUCTION: Participants will collaborate to find the best methods to calculate and record relevant materials properties at no charge and share the reusable I.P publicly.
  4. COLLABORATION: Participants’ shared goal is to speed up carbon drawdown. We are happy to share the methods and challenges, including our failures, with other organisations, including competition in this area, to drive towards open and reusable success.

5. Duration

This memorandum will come into effect upon signature by both Participants.

6. Financial arrangements

Participants agree not to pay each other any money.

7. Accountability and Indemnity

Data provided by STC to its users in collaboration with MI can be shared and reused without license or cost at the accessors risk and without any liability on the Participants.

8. Termination

Either Participant may terminate this memorandum at any time.

9. Transparency

  1. Participants will publish this memorandum on their websites.
  2. STC will make all carbon-related data calculated as a result of this collaboration publicly accessible at no cost

10. Intellectual Property

Participants make no claim to intellectual property resulting from this collaboration.

11. Dispute settlement

Any dispute that may arise as to the interpretation or application of this memorandum will be settled by consultation between the Participants.
