WHEREAS the Participants share a common goal of speeding up carbon drawdown by helping the inactive become active, the Participants have reached the following understandings:
1. Purpose
The Participants will collaborate on a transparent, non-financial, barter basis to advance their shared goal of speeding up carbon drawdown by helping the inactive become active.

JS:
- Web design services
- Graphic design
- IT schema design
- Web hosting
ST:
- Access to ST’s human resources across its network, including See Through Carbon (carbon reporting ecosystem), See Through News (journalism and outreach), See Through Together (social media video content) and See Through Games (online games).
- Access to ST’s IT resources across its network, including See Through Carbon (carbon reporting ecosystem), See Through News (journalism and outreach), See Through Together (social media video content) and See Through Games (online games).
- Access to ST’s social media and marketing resources across its network, including See Through Carbon (carbon reporting ecosystem), See Through News (journalism and outreach), See Through Together (social media video content) and See Through Games (online games).
- ST will recommend JS as its preferred partner for services listed in 2. for any third-party wishing to pay for ST-related services or content, providing FPP with the right of first refusal.
3. Key Constraints
JS Constraints:
- Contributions I‑III will be limited by availability, with paying customers taking priority.
- Contribution IV is limited by the capacity of JS’s own suppliers and service.
ST Constraints:
- ST cannot compel any third parties to work with JS.
- ST has no money so cannot pay JS directly for any services.

- Introductions to new paying customers via the terms of this MoU
- Public acknowledgement of JS’s pro bono contributions
ST Benefits
- Professional web services gratis.
- Collaboration with web professionals who share ST’s Goal (see 1. Purpose).
Joint Benefits for Both Participants
- REPUTATIONAL GAIN: via being first-mover/early adopter trailblazers in media content related to speeding up carbon drawdown by helping the inactive become active.
- TRANSPARENCY: This proposal is not exclusive in any direction and the data is not the property of JS. See Through Carbon will make the data open source.
- IP: Participants will collaborate to find the best methods to deliver the scope of this MoU at no charge to users, and share the reusable I.P publicly.
- COLLABORATION: Participants’ shared goal is to speed up carbon drawdown. We are happy to share the methods and challenges, including our failures, with other organisations, including competition in this area, to drive towards open and reusable success.
5. Duration
This memorandum will come into effect upon signature by both Participants. For Termination see 8.
6. Financial arrangements
Participants agree not to pay each other any money.
7. Accountability and Indemnity
Data provided by ST to its users in collaboration with JS can be shared and reused without license or cost at the accessors risk and without any liability on the Participants.
8. Termination
Either Participant may terminate this memorandum at any time.
9. Transparency
- Participants will publish this memorandum on their websites.
- Participants will publish any contracts with third-parties involving ST-related content in full, including any financial remuneration, on their websites.
- ST will only endorse contracts between JS and third parties related to SP content a) if it has approved them prior to signing, and b) if they include an obligation to publish the contract in full on the third-party’s website.
10. Intellectual Property
Participants make no claim to intellectual property resulting from this collaboration.
11. Dispute settlement
Any dispute that may arise as to the interpretation or application of this memorandum will be settled by consultation between the Participants.
