Preamble:
WHEREAS the Participants share common goals of
1) speeding up carbon drawdown by facilitating accurate, transparent carbon emissions reporting in Uganda
2) Building capacity at every level from grass roots to government agencies to advance a)
the Participants have reached the following understandings:
1. Purpose
The Participants will collaborate on a transparent, non-financial basis to advance their shared goals of:

Measurable carbon reduction via the free provision of accurate, transparent, open-source, verifiable, auditable carbon footprint data
-
Carbon accounting sensitisation and capacity building at all levels from government level to grass roots
2. Key Contributions
Dr. Jibril Contributions
-
Promotion: Dr. Jibril will represent, promote and publicise STC and STN projects to Ugandan government agencies and third parties.

Projects: Dr. Jibril will prioritise those projects Participants mutually deem most suitable/beneficial to Uganda

Staffing: Dr. Jibril will work with current STC representatives in Uganda, as well as recruiting new team members as required.

Liaison: Dr. Jibril will be STC and STN’s principal representative for any matters requiring engagement with Ugandan government agencies, NGOs, funders, and community organizations.

Funding: Dr. Jibril can use STC and STN projects to apply for third-party funding, on condition that:
- The funding recipient entity has signed and published an MoU with STC and/or STN
- STC and/or STC has been consulted on and given written approval of the final funding submission.

Transparency: Dr. Jibril will publish this Memorandum and STC’s Letter of Appointment as Director of Government Relations, Uganda on his social media platforms.
STC/STN Contributions:

Expertise: Will provide Dr. Jibril access to the full range of human resources of the See Through Network, including:
- See Through Carbon (carbon reporting ecosystem)
- See Through News (journalism and outreach)
- See Through Together (social media video content)
- See Through Games (online games)

Support: For any advice related to promoting carbon drawdown in Uganda currently unavailable within the See Through Network, STC will endeavour to expand the network to provide Dr. Jibril with any mutually agreed areas of expertise or experience. This includes, but is not limited to, strategic, commercial, educational, social media, technical and other non-financial support.

Resources: Will provide Dr. Jibril with online and other content to further the Goals stated in the Preamble.
3. Key Considerations
Dr. Jibril Considerations:

Integrity: Dr. Jibril is an influential and respected advocate for carbon drawdown in Uganda, with a strong track record inside government, and in voluntary, NGO and commercial sectors.

Compensation: Where appropriate, Dr. Jibril earns income from government, commercial and third-party agencies. They pay him for his work to reduce greenhouse gas emissions, promote sustainable practices including habitat restoration and biodiversity retention, and build national capacity to mitigate and reverse the impact of human-induced climate change. STC has no funding, but will assist Dr. Jibril in any applications for funding (see 2. E above)

Scope: Where Uganda’s national interests and STC/STN’s interests align, Dr. Jibril will advocate that the Government of Uganda should adopt, benefit from, and support STC/ STN projects in Uganda. These projects include, but are not limited to:
- promoting STC’s accurate, free, open-source, transparent reporting of business carbon emissions
- STN sensitisation, outreach, education and community projects to promote understanding of carbon drawdown.
- providing data-driven insights based on STC’s database and STN’s articles to guide policy and decision-making
- involving commercial partners, NGOs and funders to expand take-up.

Mutual Benefit: By working closely with Government, NGOs, funders, businesses and other entities, Dr. Jibril will explain to each stakeholder how adoption of STC will benefit them individually, Uganda as a nation, humanity as a species, and our global ecosystem.

Decarbonisation through transparency: Through innovative solutions and strategic interventions, Dr. Jibril will work with STC to help Uganda achieve and maintain a zero-carbon reality, while fostering long-term sustainability and economic growth, and attracting foreign investment by demonstrating transparency.
STC/STN considerations:

STC Scope: STC is a zero-budget carbon reporting ecosystem supported by negotiating mutually beneficial barter arrangements with businesses and individuals, principally exchanging accurate carbon footprint data for transparency.

STN Scope: STN is a zero-budget outreach and journalistic platform using multi-media content in a variety of registers aimed at different audiences, to marry hard climate data with sophisticated storytelling and behavioural psychology, on a range of social media platforms. This includes the video-focused See Through Together (STT) and See Through Games (STG).

See Through Network: STC and STN are both part of the See Through Network, working towards a shared goal of ‘Speeding Up Carbon Drawdown by Helping the Inactive Become Active’.

Funding: While it helps partners in their efforts to raise third-party funding, STC has no money itself, and provides no direct financial compensation or reimbursement, internally or externally.
4. Collaboration Benefits

Verifiable, transparent data: to support Uganda’s verification for carbon trading schemes, including REDD+.

Advocacy: Dr. Jibril can leverage his technical expertise and reputation inside and outside government to provide high-visibilitythought leadership.

High-quality data: Ugandan adoption of STC will provide its government, regulators and climate mitigation researchers with a unique, consistently-taxonomised, verifiable, auditable, comprehensive, public, transparent database. The STC database helps:

Government and NGOs fine-tune policy, based on granular, real-world data.

Regulators verify and track real-world carbon emissions.
-
Big businesses identify the greatest opportunities for Scope 3 reduction in their supply chain.

SMEs attract international customers by verifiably tracking and evidencing year-on-year carbon reduction

Uganda attract more carbon market investment by demonstrating transparency and capacity.

Capacity Building: widespread integration of STC’s free carbon reporting ecosystem will greatly improve the quality and credibility of Uganda’s decarbonisation. Sensitising Ugandans from government to grassroots level will deepen and broaden understanding of the role carbon reporting plays in meaningful, verifiable carbon drawdown.

Business Leads: Dr. Jibril’s leading role in promoting STC’s free service will help raise awareness of Dr. Jibril’s other commercial roles in habitat restoration and biodiversity protection.

Consultancy: Access at no charge to See Through Network’s pro bono Advisory Board where Participants’ interests intersect.
STC Benefits

Database: Rapid addition of real-world carbon footprint datasets to build and test STC’s Pilot database, demonstrating STC ecosystem’s value..

Consultancy: Benefitting from Dr. Jibril’s expertise in identifying appropriate methodologies and accurate conversion factors for Uganda, especially in the critical realm of forestry and agriculture.

Global South datasets: access to Ugandan businesses to compare carbon footprints over a wide range of sectors, locales and scales with those of other participating countries.

Proof of concept: for STC’s non-financial zero-budget‘barter’/’donation’ model ecosystem model
Mutual Benefits to both Participants

Reputational Gain: via being first-mover/early adopter trailblazers in accurate carbon reporting.

Transparency: this collaboration being mutually non-exclusive, and the data collected being open-source (i.e. not the property of either Participant), demonstrates and guarantees its integrity.

Decarbonisation: Participants will collaborate to find the best methods to calculate and record relevant materials properties at no charge and share the reusable I.P publicly.

Collaboration: Participants’ shared goal being to speed up carbon drawdown, both are motivated to share our methods and challenges, including failures, with other organisations, including competition in this area, to drive towards open and reusable success.
5. Commercialisation

Money: Both Participants acknowledge this collaboration may benefit Dr. Jibril financially, for example by including fees for his services in budget submissions to third-party funders.

Consultancy: Dr. Jibril may also leverage his first-mover advantage and association with STC to create added commercial value in the provision of additional specialist emissions-reducing consultancy to large businesses and their supply chains, beyond STC’s integrated reporting function.

Exclusivity: STC’s principles of openness and transparency requires this collaboration to be non-exclusive, but this Memorandum of Understanding grants Dr. Jibril permanent first-mover reputational gain in the African continent.
6. Duration
Term: This memorandum will come into effect upon signature by both Participants.
7. Financial arrangements
Fees: Participants agree not to pay each other any money.
8. Accountability and Indemnity
Data: Data provided by STC/STN to its users in collaboration with Dr. Jibril can be shared and reused without license or cost at the accessors risk and without any liability on the Participants.
9. Termination
Notice period: Either Participant may terminate this memorandum at any time.
10. Transparency

Publication: Participants will publish this memorandum on their websites.

Data: STC will make all carbon-related data calculated as a result of this collaboration publicly accessible at no cost. STN will
11. Intellectual Property
IP: Participants make no claim to intellectual property resulting from this collaboration.
12. Dispute settlement
Resolution Mechanism: Any dispute that may arise as to the interpretation or application of this memorandum will be settled by consultation between the Participants.
